Terms of Service

Welcome to PrimePrep. These Terms of Service ("Terms") are a legal agreement between you and Bent Tree LLC, a California limited liability company ("PrimePrep," "we," "us," or "our"), the operator of PrimePrep (primeprep.app and primeprep.xyz).

By creating an account or using PrimePrep, you agree to these Terms. If you don't agree, please don't use the service.

1. What PrimePrep is

PrimePrep is an online SAT preparation tool, including vocabulary practice, timed practice tests, and (over time) additional modules for math and grammar. We provide the service "as is." We don't guarantee that using PrimePrep will improve any specific student's SAT score or lead to admission to any particular college.

2. Who can use PrimePrep

You may use PrimePrep if:

  • You are a parent or legal guardian creating an account for a high school student, and
  • You are at least 18 years old and able to enter into a binding contract, and
  • You are not barred from using the service under applicable law.

Students use PrimePrep through an account created by a parent or guardian. The parent is the account holder and is responsible for the account, including any activity under it.

PrimePrep is intended for students age 13 and older. We do not knowingly allow children under 13 to use the service.

3. Accounts

When you create an account, you agree to:

  • Provide accurate information
  • Keep your login credentials secure
  • Be responsible for all activity under your account
  • Notify us promptly if you suspect unauthorized access

We may suspend or close accounts that violate these Terms or that we believe are being used fraudulently or abusively.

4. Purchases, billing, and refunds

PrimePrep offers a free tier and a paid tier.

Pricing and billing. The paid tier is currently offered as a one-time purchase of $99 per student. There is no automatic renewal and no recurring subscription. A parent account can have multiple students; each student is billed separately.

We may change prices from time to time; changes will not affect purchases already made. Payments are processed by Stripe. By purchasing, you authorize us to charge your payment method for the purchase price and any applicable taxes.

What you get. A one-time purchase gives the associated student access to the paid features of PrimePrep for the access period described at the time of purchase. If the access period is not otherwise specified, it is one year from the date of purchase.

Refunds. We offer a 7-day refund from the date of purchase, for any reason. After 7 days, purchases are non-refundable. If you believe you were charged in error, email us and we'll look into it.

Taxes. Prices shown do not necessarily include sales tax. Where required by law, we'll collect applicable taxes.

5. Acceptable use

You agree not to:

  • Use PrimePrep for any illegal purpose
  • Share your parent account credentials with anyone outside your household
  • Share a single student's paid access with other students (each student requires their own purchase)
  • Attempt to reverse engineer, scrape, or otherwise extract the content of the service
  • Use automated tools, bots, or scripts to access the service
  • Interfere with the service's operation, security, or other users
  • Upload or transmit harmful code, malware, or abusive content
  • Attempt to access accounts, data, or systems you're not authorized to access
  • Resell or redistribute PrimePrep content
  • Use PrimePrep to harass, threaten, or harm others

If you violate this section, we may suspend or terminate your account without refund.

6. Content and intellectual property

Our content. PrimePrep content — including the vocabulary lists, practice questions, explanations, UI designs, code, text, graphics, and branding — is owned by Bent Tree LLC or its licensors and is protected by copyright and other intellectual property laws. You get a limited, personal, non-transferable license to use it for your student's SAT preparation, while your account is active.

You may not copy, publish, redistribute, or build competing products from our content.

Your content. You retain ownership of anything you submit to us (support emails, feedback, etc.). By submitting feedback or suggestions, you give us permission to use them to improve the product without any obligation to you.

Trademarks. "PrimePrep" and our logos are trademarks of Bent Tree LLC. Other names and logos mentioned on the site belong to their respective owners. "SAT" is a registered trademark of the College Board, which is not affiliated with PrimePrep and does not endorse this product.

7. Third-party services

PrimePrep uses third-party services (such as Stripe for payments, Vercel for hosting, and Neon for our database). Your use of these services through PrimePrep is also subject to their terms and privacy policies. We're not responsible for the practices of third parties.

8. No guarantee of results

We want PrimePrep to help students do well on the SAT. But test performance depends on many factors — practice, sleep, test-day conditions, individual ability, and luck. We make no guarantee of any specific score improvement, college admission, scholarship, or other outcome. PrimePrep is a study aid, not a substitute for the student's own effort.

9. Disclaimers

PrimePrep is provided "as is" and "as available," without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We don't warrant that:

  • The service will be uninterrupted, error-free, or completely secure
  • Content will be accurate, complete, or up-to-date at all times
  • Any specific outcome will result from using the service

You use PrimePrep at your own risk.

10. Limitation of liability

To the fullest extent permitted by law, Bent Tree LLC and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or damages for emotional distress — arising from your use of PrimePrep, even if we've been advised of the possibility.

Our total liability to you for any claim arising out of these Terms or your use of PrimePrep is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) $100.

Some jurisdictions don't allow these limits on liability for certain types of damages. In those jurisdictions, our liability is limited to the smallest amount permitted by law.

11. Indemnification

You agree to indemnify and hold harmless Bent Tree LLC and its owners from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these Terms, or your violation of any law or third-party right.

12. Termination

You can stop using PrimePrep at any time.

We can suspend or terminate your access to PrimePrep if you violate these Terms, if required by law, or if we decide to discontinue the service. If we terminate paid access without cause within the access period you purchased, we'll provide a prorated refund of the unused portion.

Sections that by their nature should survive termination will survive — including sections on intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.

13. Dispute resolution and governing law

Governing law. These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules.

Informal resolution first. If you have a dispute with us, please email primeprepapp@gmail.com first so we can try to resolve it informally. Most issues can be resolved this way.

Arbitration. If we can't resolve a dispute informally within 60 days, you and PrimePrep agree to resolve it through binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, held in Alameda County, California, or by video conference. The arbitrator — not a court — will decide all issues.

No class actions. You and PrimePrep agree that disputes will be resolved on an individual basis only, not as a class, consolidated, or representative action.

Exceptions. Either party may bring a claim in small-claims court if it qualifies, and either party may seek injunctive relief in court to protect intellectual property rights.

Opt-out. You can opt out of this arbitration agreement by emailing us within 30 days of creating your account with the subject line "Arbitration Opt-Out." This won't affect any other part of these Terms.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you by email or in the app, and we'll update the "Last updated" date above. Your continued use of PrimePrep after changes take effect means you accept the updated Terms. If you don't agree with changes, stop using the service.

15. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and us about PrimePrep.

Severability. If any part of these Terms is found unenforceable, the rest remain in effect.

No waiver. Our failure to enforce any part of these Terms isn't a waiver of our right to do so later.

Assignment. You can't assign or transfer these Terms without our permission. We may assign them in connection with a merger, acquisition, or sale of assets.

Notices. We may send notices to the email address associated with your account. You can send notices to us at primeprepapp@gmail.com.
